Troubling Changes To Patent Rules

Yang On January 3, 2006 the United States Patent and Trademark Office (Patent Office) proposed changes to the current patent filing procedures that will dramatically change the process inventors and small businesses use to seek patent protection. The proposed changes also limit inventors ability to protect their inventions. The public may submit their feedback on these changes by May 3, 2006. CHANGE NO. 1: The first change alters the current continuation practice by limiting the number of correspondences that inventors may have with the Patent Office. Additional correspondence may be made with the Patent Office but only under limited conditions. CHANGE NO. 2: The second change alters the current claiming practice by limiting the number of claims that may be presented on an invention, specifically, ten claims per application. The proposed change severely restricts the conditions under which additional claims may be presented. Interestingly, the stated purposes of the changes are to reduce the back log of un-examined patent applications and increase the quality of the patent application review. Unfortunately, these changes also bring out two important negative implications: INCREASE COST TO OBTAIN PATENT NARROW PATENT PROTECTION Under the proposed changes, an inventor may only present ten independent claims even if the technology to be patented requires more. The Patent Office states that more claims may be presented if the inventor provides an opinion as to the reason that the invention is patentable over a prior art search but such opinion may be expensive. Hence, the inventor may have to accept narrow claim coverage that may not sufficiently protect their invention. Also, inventors must seek patent protection on multiple aspects of their invention simultaneously which may be cost prohibitive. Moreover, in cases where the Patent Office has incorrectly rejected an application, the inventor may only proceed with a costly appeal process instead of attempting to highlight different ingenious aspects of the invention. IMPACT ON BACK LOG AND QUALITY: The changes do not appear to achieve the Patent Offices desired objective of reducing its back log of applications and improving quality. Inventors, when faced with an examiner who does not understand the uniqueness of the invention, would immediately appeal or petition such refusal rather than use up their limited number of correspondences with the examiner. As such, in one aspect, the changes merely shift the load of the work from patent examiners to the appeal board and petition process. Moreover, patent attorneys would file additional applications on the same invention describing the invention in different ways to circumvent the changes increasing the number of applications. As such, in another aspect, it may increase the number of patent applications. PUNISH EVERYONE BECAUSE OF A FEW: According to the Patent Office, only 1.2% of applicants engage in excessive claiming. The Patent Office has identified a claiming practice used by a few applicants and proposes changes that affect all applicants. Oddly, the Patent Office appears to be punishing all inventors due to the excessive claiming practice of a few. PUBLIC REACTION: Feedback submitted by individuals, patent practitioners, businesses and trade associations range from full acceptance to full rejection. For example, one comment stated that the Patent Office is not taking into consideration real-world effects on practitioners and applications. Another comment from an intellectual property association supports the Patent Offices efforts in increasing examination efficiency and patent quality but disagrees that the proposed changes would achieve the desired results. The “3 C’s” to a Good Relationship

By Jodi Blackley You’ve gone through the planning. The wedding was the event of the century. You were the belle of the ball and the honeymoon was the perfect finale to the grand event. Within a matter of weeks or months, you suddenly might find yourself wondering who this person is that you married. Their mannerisms that you found cute before the wedding now seems so annoying. You might have thought she or he would change after the wedding or would automatically cater to your wants and needs. This is extremely common for newlyweds. Many couples never really sit down and talk about their needs, wants and expectations from their relationship. For some, there is a stigma around talking about your needs, as this feels selfish. For others, there is a belief that their spouse should know what their needs are, “because they love me.” Due to these misconceptions, communication begins to break down and arguments ensue, resulting in resentment. You can minimize the tension in your relationship by following the “3 C’s”: Commitment It’s important to realize that your commitment doesn’t stop with saying “I do” at the altar. You and your partner have made a vow, “until death do you part.” But what does that really mean? Well, that is going to vary from couple to couple. If you didn’t discuss this before your wedding, there’s no time like the present. What do each of you need from the relationship? What do you expect of yourself as a wife/husband? What do you expect of your spouse/partner? What expectation(s) do(es) your spouse have of you that you’re able/willing to meet? What expectation(s) do(es) your spouse have of you that you’re unable/unwilling to meet? By understanding your own expectations and those of your spouse, you will be able to work together towards making a stronger union. Also recognize that your needs may change throughout the course of your relationship. It’s safe to say that your partner will also have changes. Checking in periodically when you sense changes or stagnations throughout your relationship can help renew your commitment and discuss any changes you’re noticing. Other activities you can do to make your relationship stronger are: Plan time together every night to reconnect. Plan an outing for the 2 of you at least once a month. If you have children, plan an outing for just the 2 of you every couple of months. Communication This probably seems to be the most obvious of the “3 C’s,” but if it is so obvious, then why are so many couples arguing? Why does it feel like the same argument occurs over and over again without any resolution? Communication is the most obvious of the secrets for a good marriage, but it doesn’t mean it’s the easiest to overcome. Communication is an art. The art of listening, the art of hearing, the art of understanding. Listening doesn’t just mean the words alone. It means paying attention to your partner (listening), getting the message of what they are trying to convey (hearing) and being able to respond in a way that lets them know you got the message (understanding). If this isn’t going on between the 2 of you, arguments erupt and resentment may result. So how do we listen, hear and understand? Do not interrupt when your partner is speaking. Pay attention not only to what but (more importantly) what they’re saying, how they’re saying it, their voice, eyes, speech patterns. Once they are finished, summarize what they said. Find out if what they said matches with what you’ve heard. If not, let them clarify their meaning of their statement again. Clarify again and continue this until everything matches. Once you’ve heard the message, now acknowledge their message and respond with your own. While there are many more steps towards good communication, this will provide you with a basic idea of where to begin. Remember, disagreements are natural in any relationship. Good communication provides you an opportunity to express your opinions, ideas and beliefs openly without feeling like you have to compromise your core beliefs, thus leading to resentment, which can be harmful to any good relationship. Compromise Recognize that you are 2 different people. You have grown up in different cultures, with different experiences and beliefs. It’s these differences that drew you to one another. If you shared every thought and belief, your relationship would be boring, almost as if you were clones of one another. It’s okay to have differences of opinions as well. These opinions may result in a conflict. If you can learn to compromise, then the conflict can be resolved without feeling like either one of you are always, “giving in.” So, how do we compromise? Recognize that no one has to be right or wrong. Each person take turns in talking. Don’t talk over each other. Look at the issue from all angles. Write down all the pros/cons of the issue. Look at possible areas where each of you are willing to give without resentment. If you cannot come up with an agreement at that time, agree to put it aside with an agreement that the issue will be readdressed. Start your business by working evenings and weekends while keeping your present job as long as practicable. This way, if the business does not meet your expectations, you have not incurred debt and will still have a job! However, depending on the nature of the business outside funding may be necessary. For example, expensive equipment or initial stock may be required. When determining your financing needs, remember that nearly everyone underestimates what is required, so be careful and do your planning accordingly. And of course, don’t forget to factor in contingency - sickness, bad weather, equipment breakdown, etc. Anything that increases the time line to profits! Best you figure on a year before you see a profit. Here are some items to keep in mind when preparing your startup budget: Office equipment (Fax machine, computer) Production equipment (for manufacturing) Office supplies Legal and CPA fees Insurance Business licenses or permits Lease deposits Remodeling costs Utility deposits (this can be quite large!) Salaries Shipping Advertising and promotion and the big one … contingency! What you want to avoid is having to find additional financing during your startup phase. It is generally easier to obtain financing the first time around! There are two major forms of business financing. 1. DEBT FINANCING. This simply means you get a loan from someone or somewhere and go into debt! You are obligated to repay the money. 2. EQUITY FINANCING. This involves “selling” a portion of your company to an outside investor. You have no obligation to repay the funds. In general, this type of funding is provided by venture capital firms. The fact is, 99.99% of all small businesses will utilize debt financing since most “equity lenders” (venture capital companies) are interested in lending large amounts of money, generally a million dollars or more. This article will only consider sources for obtaining debt financing for your venture. SOURCES FOR DEBT FINANCING 1. YOURSELF! (Savings) You are your own best “lender” if you have the savings. This approach can be quick and easy. CAUTION: Ensure you have adequate savings for both the business and other life contingencies. 2. FRIENDS and RELATIVES. If they believe in you and your idea, friends and relatives are sometimes willing to fund you. Choose this route with care and ensure you execute a formal loan document stating loan terms (interest, terms of repayment). CAUTION: Many friends have been lost and many relatives alienated because of a small business failure. 3. BANKS and CREDIT UNIONS. Many banks and credit unions (check with your own first and with you local chamber of commerce for alternate possibilities) will loan money for starting a small business. This approach will require that you present a formal plan to the bank showing justification for the amount you are borrowing. 4. THE SMALL BUSINESS ADMINISTRATION (SBA). Check out their website (http://www.sba.gov). Contrary to what many believe the SBA does NOT generally loan money directly but rather guarantees a loan (normally up to 90%). This can make it a lot easier to obtain a bank loan since the bank’s risk is lowered considerably. The exception is that the SBA does provide direct loans to certain groups including Vietnam-era and disabled veterans and handicapped individuals. In general, the SBA will not offer any assistance until you have been turned down for a loan by a commercial bank. Most loans guaranteed through the SBA are between $25,000 and $750,000. However, there is a “microloan” program for amounts from a few hundred dollars up to $25,000. 5. VENDOR FINANCING. If your business is one that relies heavily on certain vendors, it may be possible to obtain financing through the vendor. After all, they want you to use their product and therefore have an interest in helping you be successful. 6. STATE. Some states have small business financing authorities that issue tax-exempt development bonds that can be used to finance land, buildings and equipment for manufacturing businesses. Check with your local government office for details. 7. HOME EQUITY LOAN. Interest rates for this kind of loan are generally quite low and the interest is fully deductible for the first $100,000 borrowed. CAUTION: You are placing your home on the line! 8. LIFE INSURANCE. Some types of life insurance policies (whole life and universal) have cash value which can be borrowed at very low interest rates. You are not obligated to pay this money back but if you don’t, your policy payout is reduced by the amount borrowed. 9. RETIREMENT PLANS. Some retirement plans (401K for example) allow you to borrow against vested benefits. Generally, up to 50% may be borrowed as long as this is less than $50,000. CAUTION: If you quit your employment, the loan must be repaid immediately. If you don’t the amount borrowed is treated as an early distribution and is taxable. 10. GRANTS. Many foundations provide funding in the form of grants. Check “The Foundation Directory” at your local library or visit their website at http://fdncenter.org to find out what foundations may have an interest in your specific business idea. The Foundation Center may be reached at (212) 620-4230. 11. CREDIT CARDS. These should be used with care because of the excessively high rates of interest usually charged. CAUTION.
